Welcome to Blackauthored. These Terms of Use (“Terms”) govern your access to and use of our websites, mobile applications, services, and Content (collectively referred to as the “Services”) provided by Blackauthored (“we,” “us,” or “our”).
Please read these Terms of Use carefully before using our site, services, or products. By accessing or using our Services, you agree to be bound by all the Terms. If you don't agree to all these Terms, you shouldn't, and aren't permitted to, use the Services.
1. Eligibility
You may only use the Services if you can form a binding contract with Blackauthored and are not legally prohibited from using the Services.
In any case, you must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction (typically under 18), you may only use the Services with the permission and supervision of a parent or legal guardian.
By (i) accepting these Terms and/or using the Services, or (ii) accepting these Terms on behalf of a minor, you confirm that you have reviewed these Terms and agree to be bound by them.
2. Privacy
For information about how Blackauthored collects, uses, and shares your information, please review our Privacy Policy . By using the Services, you acknowledge that you have read and understand the Privacy Policy and agree to our collection, use, and sharing of your information as described therein.
3. Use of the Services
Subject to your compliance with these Terms, Blackauthored grants you a personal, non-transferable, non-exclusive, revocable, limited license to use the software provided to you as part of the Services.
However, the Services are owned and operated by Blackauthored and protected by intellectual property and other laws. You acknowledge and agree that without our express written consent, you will not use, copy, license, sell, transfer, assign, distribute, host, or otherwise exploit any of Blackauthored’s logos, domain names, distinctive brand features, and other proprietary rights. All right, title, and interest in and to the Services (excluding Content, as described below, provided by users) are and will remain the property of Blackauthored or its third-party licensors.
As a condition of your use of Blackauthored, you must comply with these Terms and all applicable laws, rules, and regulations.
In addition to what is prohibited in the Community Guidelines , you may not do any of the following:
- Infringe, misappropriate, or violate the rights of others, including intellectual property, privacy, or publicity rights;
- Upload, post, or distribute any content that is unlawful, harmful, fraudulent, misleading, or otherwise objectionable;
- Interfere with or disrupt the integrity, security, or performance of the Services, including by introducing viruses, malware, or other harmful code;
- Attempt to gain unauthorized access to any part of the Services, other user accounts, or related systems or networks;
- Use automated means (such as bots, scrapers, or scripts) to access or interact with the Services without our prior written permission; or
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Services, except where permitted by law;
The Services evolve constantly. As such, we may add or remove features, products, or functionalities, and while we will try to notify you beforehand, that won’t always be possible. We reserve the right, at our sole discretion and at any time, to limit, modify, suspend, or discontinue all or part of the Services, with or without notice.
Any future release, update, or other addition to functionality of the Services will be subject to these Terms, which may be updated from time to time. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services or any part thereof.
4. Account Registration and Account Security
To access some features of our Services, you may be required to create an account (an “Account”) and provide us with an email address, a password and a username, which will serve as a default link to your user profile of the form blackauthored.com/users/[username].
You agree to provide Blackauthored with accurate, complete, and updated registration information.
You are also responsible for maintaining the confidentiality of your Account password and for the security of your Account, and you will notify Blackauthored immediately of any actual or suspected loss, theft, or unauthorized use of your Account or Account password.
5. User Content
The Services may contain information, text, links, graphics, photos, videos, audio, streams, software, tools, or other materials (collectively, “Content”), including Content that is created, submitted, or otherwise made accessible on or through the Services by you or any other user through an Account (“User Content”). We take no responsibility for, and we do not expressly or implicitly endorse, support, or guarantee the completeness, truthfulness, accuracy, or reliability of any of User Content.
By submitting User Content to the Services, you represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power and/or authority necessary to grant the rights to User Content contained within these Terms. In our sole discretion, User content may be screened, edited, or deleted altogether, at any time and for any reason, including for violating these Terms.
You retain ownership and/or other applicable rights to any User Content, including anything referenced therein, you submit, input, create, generate, post, or display on or through the Services.
When you provide User Content to Blackauthored through the Services, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, transferable right and license to use, copy, reproduce, store, cache, adapt, modify, publish, transmit, display, upload, download, and distribute such User Content, including anything referenced therein, in any and all media or distribution methods now known or later developed anywhere in the world.
You also agree that this license includes the right for us to make all publicly-posted Content available to third parties selected by Blackauthored, so that those third parties can syndicate and/or analyze such Content on other media and services.
Any ideas, suggestions, or feedback you provide to us regarding Blackauthored or our Services are entirely voluntary, and you agree that Blackauthored may use such ideas, suggestions, and feedback without compensation or obligation to you.
Content Recommendations
To help you find your next read, we consider a variety of signals, including your historical and real-time engagement on the Services. These signals include explicit positive and negative engagement with books (e.g., shelving, reviewing, commenting, muting), authors (e.g., following), and tags (e.g., following), as well as search queries. Based on these and other factors, we may make recommendations to better curate your experience on Blackathoured utilizing Collaborative Filtering algorithms, which will surface books engaged by users who have similar engagement patterns (e.g. engaged with the same books), or content-based approaches, which will suggest books with content (e.g. textual information, genres, tropes) similar to the interests you’ve identified in your settings.
6. Paid Services
There are no fees for the use of many aspects of the Services. However, certain aspects of the Service may be available for a fee or other charge (“Paid Services”). By purchasing or subscribing to any Paid Services, you agree to pay all applicable fees and charges as described at the time of purchase.
All fees are stated in the applicable currency and final and non-refundable, except at Blackauthored’s sole discretion. Termination of your Account or your rights under this Agreement may result in forfeiture of purchased Paid Services.
7. Copyright Claims
We respect the intellectual property rights of others. If you believe that any material residing or accessible on or through the Services infringes a copyright, please immediately notify us by contacting copyright@blackathoured.com with the following information:
- A description of the work or material being infringed.
- The exact URL or location of the allegedly infringing material on the Services
- Contact information for the notifying party (the "Notifying Party"), including name, address, telephone number, and email address.
- A statement that the Notifying Party has a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
- A statement that the information in your notice is accurate, and under penalty of perjury (or equivalent under applicable law), that you are the copyright owner or authorized to act on their behalf
- Your physical or electronic signature
Upon receiving a valid notice, we may remove or disable access to the allegedly infringing Content and take appropriate action, including notifying the User who posted the Content.
If you believe that your Content was removed in error, you may file a counter-notification by sending an email to support@blackauthored.com and including sufficient information, including the specific URLs of material that Blackauthored has removed or to which Blackauthored has disabled access, to allow us to review your claim.
Blackauthored will terminate, under appropriate circumstances, the Accounts of Users who are repeat copyright infringers, and reserves the right, in its sole discretion, to terminate any User for actual or apparent copyright infringement.
8. Third-Party Websites, Advertisements, and Services
The Services may contain links to third-party websites, products, or services, which may be posted by advertisers, our affiliates, our partners, or other users (“Third-Party Content”).
We do not control, endorse, or assume responsibility for any Third-Party Content. If you choose to access or interact with third parties, you do so at your own risk, and your interactions are governed by those third parties' terms and policies.
We are not responsible for any loss or damage that may arise from your use of or reliance on any Third-Party Content, including any transactions, purchases, or communications you engage in with them.
You acknowledge and agree that Blackauthored is not liable for any content, goods, or services available through third parties or for any issues arising from your dealings with them.
9. Indemnity
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Blackauthored and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: a) your use of the Services; (b) your violation of these Terms; (c) your violation of applicable laws or regulations; or (d) Your Content. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims.
10. Governing Law and Venue
We want you to be here not only for a good time but also for a long time, so if you have an issue or dispute, you agree to raise it and try to resolve it with us informally. You can contact us with feedback and concerns at support@blackauthored.com .
To the fullest extent permitted by applicable law, any claims arising out of or relating to these Terms or the Services will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any disputes will be resolved exclusively in the courts located in Ontario, Canada, and you and Blackauthored consent to the personal jurisdiction of such courts.
11. Changes to these Terms
We may update these Terms from time to time. If we make changes, we will post the revised Terms and update the Effective Date above. If the changes, in our sole discretion, are significant, we may also notify you by sending an email to the address associated with your Account or by otherwise providing you with notice through our Services. By continuing to access or use the Services on or after the Effective Date of the revised Terms, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop accessing and using our Services before the changes become effective.
12. Termination
You may terminate these Terms at any time and for any reason by deleting your Account and discontinuing use of all Services.
We may terminate or suspend your access to or ability to use any and all Services immediately, without prior notice or liability, for any or no reason, including but not limited to if you violate these Terms.
Upon termination of your access to or ability to use a Service, including but not limited to suspension of your Account on a Service, your right to use or access that Service and any Content will immediately cease.
All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.
